BYLAWS OF THE REPUBLICAN WOMEN ARTICLE I Name The name of this organization shall be The Republican Women of Coffee County. ARTICLE II Objectives The objectives of this organization shall be: (a) To promote an informed electorate through political education. (b) To increase the effectiveness of women in the cause of good government through political participation. (c) To facilitate cooperation among women’s Republican clubs. (d) To foster loyalty to the Republican Party and to promote its ideals. (e) To work for the election of the Republican Party’s nominees. (f) To support and work for ballot security in the general elections. (g) To support objectives and policies of the Republican National Committee and the Alabama Republican Executive Committee. ARTICLE III Membership (a) Membership in this organization shall be open to any person in sympathy with its objectives whose dues are currently paid. (b)Associate membership is open to other Republican Women who are members of other Clubs upon payment of annual dues. However, they have no vote. Associate membership is open to men who share the objectives of the Club; they may serve on committees, voice an opinion; however associate members are ineligible to vote or hold office. (c) Removal from membership. Members may be removed from membership by a two-thirds (2/3) vote of the Board of Directors for the following reasons. (1) Non-payment of dues before the last day of the year for which they are payable. (2) Public support of opposition party candidate. (d) Reinstatement to membership. A member removed from membership for any cause may be reinstated by filing an application with the Board of Directors and by two-thirds (2/3) vote of the same. ARTICLE IV Officers and Their Duties Section 1. The officers of this organization shall be: a president, a first, a second, a third, and a fourth vice-president, a recording secretary, corresponding secretary, and a treasurer. Section 2. The officers shall be elected for a term of two (2) years, and no officer shall succeed herself more than once. Section 3. Duties of officers. (a) President: (1) Preside at all meetings of the organization. (2) Appoint all committees. (3) Be ex-officio a member of all committees except the Nominating Committee. (4) Prepare a program of action after consultation with the chairmen of standing committees, for presentation to the Board of Directors. (5) Appoint a Parliamentarian. (6) Appoint a Chaplain. (7) Co-sign all checks with the Treasurer. (8) Act as liaison between the organization and the Alabama Federation of Republican Women. (9) Represent the organization at all times or designate someone as representative in her absence. (b) The First Vice-President shall serve in the absence of the President, and shall perform such other duties as may be designated by the President and Board of Directors (c) The Recording Secretary shall record and keep the minutes of all meetings of the organization. The Secretary shall be custodian of all records and papers of the organization, except those that pertain to some other office or committee. The secretary may co-sign all checks along with the President or Treasurer. (d) Corresponding Secretary shall be the club newsletter editor. (e) Treasurer: (1) Collect all funds and deposit them in a bank approved by the Board of Directors. (2) Co-sign all checks with the President or Secretary. (3) Disburse funds as directed by the President and/or Board of Directors. (4) Make written reports of receipts and disbursements for all meetings, and as directed by the President. (5) Be ex-officio a member of the Budget Committee. (f) Immediate Past President. The retiring President shall serve as a member of the Board of Directors for a period of two years. The Past President shall be consultant of committees. Section 4. Officer Records. All officers shall deliver all records, files and properties of the organization within one (1) month after retiring from office, unless otherwise directed by the President. ARTICLE V Board of Directors Section 1. The Board of Directors shall consist of the elected officers, the chairmen of standing committees, the immediate Past President, and such other as appointed by the President, not to exceed fifteen (15) members. Section 2. Duties of the Board of Directors. (a) The Board of Directors shall be the governing body of this organization. (b) Fill vacancies in elective offices that occur, except the office of President. Should a vacancy in the office of President occur, the First Vice-President automatically becomes President for the unexpired term and a new First Vice-President shall be elected. (c) Approve the program of action as presented by the President. Section 3. Meetings of the Board of Directors. (a) The Board of Directors shall meet every month. Additional meetings may be called by the President or may be called at the written request of one third (1/3) of the members in good standing. Section 4. Quorum. A majority of those members present shall constitute a quorum for all meetings of the Board of Directors. ARTICLE VI Dues Per capita dues of twenty dollars ($20.00) per member shall be payable January 1st. ARTICLE VII Nominations and Elections Section 1. Nominations. A nominating committee of three (3) shall be appointed by the President. Section 2. Where there is only one (1) candidate for an office, election may be by voice vote. A majority vote shall elect. Section 3. No one shall serve on the nominating committee for more than two (2) consecutive terms. Sections 4. Vacancies. A vacancy in an elective office shall be filled by an election by the Board of Directors at the next meeting following the vacancy. ARTICLE VIII Qualifications for Office All officers shall be active members in good standing. ARTICLE IX Committees Section 1. The standing committees of the Club shall include: Public relations/publicity (b) Legislative (c)Historian (d)Ways and Means (e)Americanism (f)Caring for America/Literacy (g)Parliamentarian Section 2. Special committees may be appointed by the President as deemed advisable. ARTICLE X Parliamentary Authority The rules contained in Robert’s Rules of Order Newly Revised shall govern all proceedings, except where inconsistent with the provisions of the bylaws of this organization. ARTICLE XI Amendments These bylaws may be amended by a two-thirds (2/3) vote of the members, provided that copies of the proposed amendments shall have been submitted in writing to each member of the Board of Directors thirty (30) days prior to the meeting. (A) The registration fee and travel assistance shall be paid for the President to attend the State Federation Biennial Convention, amount not to exceed $300.00 (three hundred dollars) per convention.
(B) The registration fee and travel assistance shall be provided for the president to attend the National Federation of Republican Women’s Biennial Convention, amount not to exceed $1500.00 (fifteen hundred dollars) per convention. (C) Lunch will be provided by RWCC for invited guest speakers and news media. (D) The RWCC are responsible for the Legislative Days suggested contribution. ($250 may be raised by donation, or sponsorship, or from treasury.) (E) All Monies collected by Membership Chairman, jewelry sales, fund raising events, or for food at meetings shall be labeled as such before given to Treasurer.
