BYLAWS OF THE SAN ANTONIO CHESS CLUB

ARTICLE I - Name: The name of this organization shall be the San Antonio Chess Club.

ARTICLE II - Purpose: The purpose of the Club shall be primarily educational and instructional, with an aim toward broadening and developing chess as an art, recreation and significant element of culture in the community and state. The club is pledged to operate exclusively for educational, recreational and social purposes. Club funds are not to be used in any kind of political activities.

ARTICLE III - Membership:

Section 1. Anyone interested in chess is eligible to apply for membership. There are three classes of membership: A. Regular: Any person 19 years of age or older may become a Regular Member of the Club upon payment of $10.00 for one year. B. Junior: Any person 18 years of age or younger may become a Junior Member of the Club upon payment of $5.00 for one year. C. Life: Any person may become a Life Member of the Club upon payment of $200.00. D. Family: A household consisting of husband and/or wife, including children (if any) age 18 or under, may take out a Family Membership upon payment of $15.00 for one year. They shall receive a subscription to the Club newsletter and up to two votes at Club business meetings.

Section 2. The Board of Directors shall have the right to censure, suspend or expel a member for conduct unacceptable to the Club. This requires a majority vote (i.e., three out of four) by the Board of Directors.

ARTICLE IV - Administration:

Section 1. Administration of the Club shall be vested in a Board of Directors consisting of the President, Vice-President, Secretary-Treasurer and Director at Large. The Directors (Club officers) shall be elected by the Club membership at the Annual Membership Meeting and shall serve for one year or until the next Annual Membership Meeting. The Board of Directors is responsible for the management of the Club. Any Club officer who fails to maintain current membership shall be ineligible to vote on the Board of Directors, and his office shall be considered vacant after two months of non-membership.

Section 2. The President shall call and preside at an Annual Membership Meeting held during January of each year for the purpose of the election of officers and other Club business. Under urgent circumstances, the President may call a special membership meeting. The Secretary shall notify members one week in advance of any membership meeting, and of any known agenda items. Meetings will be conducted in accordance with Robert's Rules of Order unless otherwise stipulated in these Bylaws.

Section 3. Duties of Officers: A. The President shall call and preside at all meetings of the membership and the Board of Directors. He shall appoint committees and committee chairmen, appoint officers for positions in which there are no nominees and appoint members to fill any vacancy in office for the unexpired term. He shall represent the Club officially on occasion and have the authority to act as the chief executive officer of the Club in conducting business as authorized by the Board of Directors. B. The Vice-President shall assist the President in the execution of his duties and perform the duties of the President when the President is unable to serve. C. The Secretary-Treasurer shall be the recording officer of the Club and the custodian of its records. He shall maintain a current list of all members and minutes of the Annual Business Meeting and meetings of the Board of Directors. As Treasurer, he is entrusted with the custody of Club funds. Club funds shall be deposited in a national or state bank in the Club name, disbursable only by the President or the Secretary-Treasurer. D. The Director at Large will assist the other Club officers and vote at meetings of the Board of Directors.

ARTICLE V - Amendments: These Bylaws may be amended by a two-thirds vote of the members present at the Annual Membership Meeting or a specially called meeting.
